The arbitration shall take place in Miami, Florida, and shall be conducted in the English language.

The arbitrator's award shall be final and binding, and judgment on the award may be entered in any court having jurisdiction thereof. Each party shall bear its own costs and legal fees associated with the arbitration, unless the arbitrator determines that the claims or defenses of one party were frivolous or asserted in bad faith, in which case the arbitrator may award reasonable fees and costs to the prevailing party.

Notwithstanding the foregoing, nothing in this section shall preclude either party from seeking injunctive or other equitable relief from a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party's intellectual property rights or confidential information. You agree to waive any right to participate in a class action lawsuit or class-wide arbitration against HNK Cosmetic.

9.0 Termination
